Guide on amending articles

The articles of a corporation under the Canada Business Corporations Act (CBCA) can be amended by submitting a request through the Online Filing Centre. You will have to pay a filing fee (see Services, fees and processing times).

Documents to file to amend articles

  1. a completed and signed Form 4 – Articles of Amendment (see Federal corporation forms)
  2. the following documents, as applicable:
    1. if the province of registered office is changing, a completed and signed Form 3 - Change of Registered Office Address (see Federal corporation forms)
    2. if any of the directors of the corporation are being changed, a completed and signed Form 6 – Changes Regarding Directors (see Federal corporation forms)

    Restated articles of incorporation

    If your corporation has made several amendments to its articles, you can consolidate all the changes and set out the current articles of your corporation into one document. This makes it easier to consult the corporation's articles. To make this consolidation an official document, you can file restated articles with Corporations Canada.

    An application to file restated articles of incorporation must include:

    1. a completed and signed Form 7 – Restated Articles of Incorporation (see Federal corporation forms)
    2. the filing fee (see Services, fees and processing times).
